Terms of Service

Definitions
“Operator” means the entity operating the Service. “Service” means the Pay402 website and mint endpoints. “Token” means the commemorative Pay402 ERC-20 token. “You” or “User” means the person accessing the Service. “Restricted Territories” means Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, Sevastopol, and any jurisdiction subject to comprehensive sanctions, embargoes, or prohibitions.
Acceptance of Terms
By connecting a wallet or using the Service, you agree to these Terms. If you do not agree, do not use the Service. The Operator may update these Terms at any time; the “Last Updated” date reflects the latest version.
Nature of the Token
The Token is a commemorative meme with: (a) no intrinsic value; (b) no utility or functionality; (c) no roadmap or development plans; (d) no guarantee of exchange listing; and (e) no expectation of profit. The Token is not an investment, security, or financial product.
Eligibility & Restrictions
You represent and warrant that you: (a) are at least 18 years old (or the age of majority in your jurisdiction); (b) are not located in, resident of, or organized in any Restricted Territory; (c) are not the subject of sanctions or on any denied-party list; and (d) will not use the Service in violation of applicable law. The Operator may geoblock, screen, or refuse service at its discretion.
Mint Rules & Fees
• Each wallet may mint only once (as configured by the Operator)
• Mint price: 1 USDC on Base (plus network gas)
• All sales are final; no refunds
• Gas fees and any network costs are your responsibility
• The Operator may suspend, modify, or terminate the mint at any time
Smart-Wallet Compatibility
Facilitator-based settlement supports EOA signatures for EIP-3009. Certain smart wallets (ERC-4337 contract accounts) may need to transfer USDC directly to the treasury address before minting is finalized. The Service may detect smart wallets and present an alternate flow.
Prohibited Uses
You must not: (a) circumvent access controls or geoblocks; (b) engage in fraud, abuse, or market manipulation; (c) use the Service for any unlawful purpose; (d) interfere with security, integrity, or availability of the Service; (e) use automated means to attack or overload the Service.
No Advice; No Fiduciary Duty
Nothing on the Service constitutes financial, legal, or tax advice. The Operator does not owe you any fiduciary duties.
Taxes
You are solely responsible for reporting and paying any taxes arising from your use of the Service or receipt of Tokens.
Assumption of Risk
You understand and accept the risks of using blockchains, including irreversible transactions, loss of private keys, smart-contract bugs, and network congestion or failure. You acknowledge that the Token may be illiquid or worthless indefinitely.
Disclaimers
THE SERVICE AND TOKEN ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. The Operator does not warrant uninterrupted or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, the Operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, even if advised of the possibility. The Operator’s aggregate liability for any claim will not exceed the amount you paid to mint (excluding gas). Some jurisdictions do not allow certain limitations; in such cases, the limitation applies to the fullest extent permitted.
Indemnification
You agree to defend, indemnify, and hold harmless the Operator and its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or breach of these Terms.
Governing Law; Dispute Resolution
These Terms are governed by the laws of the jurisdiction where the Operator is established, without regard to conflict-of-law rules. Any dispute shall be resolved by binding arbitration on an individual basis, and you waive any right to participate in a class or representative action. You agree that injunctive or equitable relief may be sought in a court of competent jurisdiction where necessary.
Severability; Assignment; Entire Agreement
If any provision is held invalid, the remaining provisions remain in full force. You may not assign these Terms without prior written consent; the Operator may assign these Terms without notice. These Terms constitute the entire agreement between you and the Operator regarding the Service.
Changes to Terms
We may modify these Terms at any time. The updated Terms are effective when posted, unless a later effective date is stated. Your continued use of the Service after changes become effective constitutes acceptance.
